All content, features, and functionality of the Service, including but not limited to software code, algorithms, AI models, text, graphics, logos, icons, images, user interface design, trademarks, and proprietary tools are owned by LawyerDesk Advocacy Pvt Ltd or our licensors and are protected by Indian and international copyright, trademark, patent, and other intellectual property laws.

5.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

6. User-Generated Content

6.1 Content Ownership

You retain ownership of any content, documents, or data you upload to the Service ("User Content"). By uploading User Content, you grant LawyerDesk a worldwide, non-exclusive, royalty-free license to store, process, and display your User Content to provide and improve the Service.

You are solely responsible for:

• Ensuring you have necessary rights and permissions for User Content
• Compliance with attorney-client privilege and confidentiality obligations

7. Payment Terms

7.1 Subscription Fees

Certain features require paid subscriptions. By subscribing, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate and complete billing information
• Authorize us to charge your payment method
• Update payment information to avoid service interruption

7.2 Billing Cycles

• Monthly Subscriptions: Billed monthly on the subscription date
• Annual Subscriptions: Billed annually with potential discounts
• Enterprise Plans: Custom billing terms as agreed in writing

7.3 Automatic Renewal

Subscriptions automatically renew unless you cancel before the renewal date, your payment method is declined, or your account is suspended or terminated.

• Loss of profits, revenue, or business opportunities

• Consequential, incidental, or punitive damages
• Damages arising from unauthorized access to transmissions or data

8.3 Maximum Liability Cap

In no event shall our total liability exceed the greater of: the amount you paid to LawyerDesk in the 12 months preceding the claim, OR ₹10,000 (Indian Rupees Ten Thousand)

9. Indemnification

9.1 User Indemnification

You agree to indemnify, defend, and hold harmless LawyerDesk Advocacy Pvt Ltd, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or relating to:

• Your use or misuse of the Service
• Violation of these Terms or applicable laws
• Infringement of intellectual property or other rights of third parties
• Your User Content or activities on the platform
• Breach of attorney-client privilege or professional ethics rules
• Unauthorized disclosure of confidential information

10. Dispute Resolution and Governing Law

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

10.2 Jurisdiction

You agree that:

• The courts of India shall have exclusive jurisdiction over any disputes
• You submit to the personal jurisdiction of such courts

10.3 Arbitration (Optional)

Prior to initiating litigation, parties may agree to resolve disputes through arbitration conducted in accordance with the Arbitration and Conciliation Act, 1996.

11. Termination of Service

You may terminate your account at any time by:

11.2 Termination by LawyerDesk

We may terminate or suspend your account immediately, without prior notice, if:

• You breach these Terms
• You engage in fraudulent or illegal activities
• Your account poses security risks
• We discontinue the Service
• Required by law or court order
• Your payment obligations are not met
